Resolution to approve a (5) five year extension amendment to the agreement for disposal of solid waste by and between Advance Disposal and the City of West Allis.

WHEREAS, the City of West Allis (“City”) has entered into an Agreement with Veolia Environmental Services of Muskego, Wisconsin (formerly Superior of Wisconsin Inc. of Muskego, Wisconsin, Browning-Ferris Industries, Town & County Waste Service of Muskego, Wisconsin) (“Contractor”) for the disposal of solid waste, said Agreement dated May 11, 1984, as amended by Amendments dated April 23, 1987, April 1, 1993, April 14, 1997, June 19, 2001, September 3, 2002, January 7, 2005, October 4, 2012, and January 1, 2018 (the “Agreement”); and,

 

WHEREAS, the Agreement will expire at 11:59 p.m. on July 1, 2018; and,

 

WHEREAS, in accordance with the terms of the existing Agreement, the parties desire to extend the term of the Agreement, subject to current terms and conditions.

 

NOW, THEREFORE BE IT RESOLVED by the Common Council of the City of West Allis that the five year extension under the current terms of the Agreement, a copy of which is attached hereto and made a part hereof, be and is hereby approved.

 

BE IT FURTHER RESOLVED that the Director of Public Works is hereby authorized and directed to execute and deliver the Amendment on behalf of the City of West Allis.

 

BE IT FURTHER RESOLVED that the funding for these services are budgeted annually, and will be charged to the Solid Waste Fund, Account Number 550-4233-535.41-09, Dumping Fees.

 

NOW, THEREFORE, BE IT FURTHER RESOLVED that the Director of Public Works, with the approval of the City Attorney, be and is hereby authorized to make such substantive changes, modifications, additions and deletions to and from the various provisions of the Agreement, as may be necessary and proper to correct inconsistencies, eliminate ambiguity and otherwise clarify and supplement said provisions to preserve and maintain the general intent thereof.
