Resolution Authorizing and Directing the Mayor to Sign a License Agreement Addendum #1 with WE Energies for use of their Right of Way for the West Allis Cross Town Connector Bike Trail Bridge.

WHEREAS The City of West Allis is currently developing Phase 2 of the Cross Town Connector Bike and Pedestrian Trail which includes a new bridge over Wisconsin State Highway 100; and

WHEREAS The City of West Allis previously entered into a License Agreement with WE Energies on November 10, 2011 wherein the Licensor, WE Energies, granted the Licensee, the City of West Allis, the right, permission and authority to develop and use a part of the Licensor's fee owned right of way lands for the purpose of hiking, biking and cross-country skiing and other similar non- motorized recreational uses for use by the general public; and

WHEREAS The City of West Allis has requested WE Energies to permit the inclusion of additional right of way lands of WE Energies for the expansion of the recreational trail and to permit construction and installation of a pedestrian bridge over Wisconsin State Highway 100 south of Greenfield Avenue.

NOW, THEREFORE, BE IT RESOLVED By the Common Council of the City of West Allis that the Mayor, along with other appropriate City Officials, be and is hereby authorized and directed to sign the License Agreement Addendum #1 on behalf of the City of West Allis.

BE IT FURTHER RESOLVED That the Interim City Engineer be and is hereby authorized to make such non-substantive changes, modifications, additions and deletions to and from the various provisions of the License Agreement, including any and all attachments, exhibits, addendums and amendments, as may be necessary and proper to correct inconsistencies, eliminate ambiguity and otherwise clarify and supplement said provisions to preserve and maintain the general intent thereof, and to prepare and deliver such other and further documents as may be reasonably necessary to complete the transaction...
