Resolution to approve an amendment to the agreement for disposal of solid waste by and between Veolia Environmental Services and the City of West Allis.
Body
WHEREAS, the City of West Allis ("City") has entered into an Agreement with Veolia Environmental Services of Muskego, Wisconsin (formerly Superior of Wisconsin Inc. of Muskego, Wisconsin, Browning-Ferris Industries, Town & County Waste Service of Muskego, Wisconsin)("Contractor") for the disposal of solid waste, said Agreement dated May 11, 1984, as amended by Amendments dated April 23, 1987, April 1, 1993, April 14, 1997, June 19, 2001, September 3, 2002 and January, 7, 2005 (the "Agreement"); and,

WHEREAS, the Agreement will expire at 11:59 p.m. on December 31, 2012; and,

WHEREAS, in accordance with the terms of the existing Agreement, the parties desire to extend the term of the Agreement, subject to certain terms and conditions (the "Amendment").

NOW, THEREFORE BE IT RESOLVED by the Common Council of the City of West Allis that the Amendment to the Agreement, a copy of which is attached hereto and made a part hereof, be and is hereby approved.

BE IT FURTHER RESOLVED that the Mayor and Chief Administrative Officer/City Clerk/Treasurer be and are hereby authorized and directed to execute and deliver the Amendment on behalf of the City of West Allis.

BE IT FURTHER RESOLVED that the funds to pay the annual liability that will accrue under the Amendment by the City of West Allis shall be appropriated by the Annual City Budget for the Department of Public Works.

NOW, THEREFORE, BE IT FURTHER RESOLVED that the Director of Public Works with the approval of the City Attorney be and is hereby authorized to make such substantive changes, modifications, additions and deletions to and from the various provisions of the Agreement, as may be necessary and proper to correct inconsistencies, eliminate ambiguity and otherwise clarify and supplement said provisions to preserve and maintain the general intent t...
