Resolution to Approve the Second Extension and Amendment to Recycling/Processing Agreement by and between West Allis Salvage Co., Inc. and the City of West Allis.

 

Body

 

WHEREAS, the City of West Allis ("City") has entered into that certain Agreement dated October 1, 1994, with West Allis Salvage Co., Inc. ("West Allis Salvage") for the recycling/processing of recyclable materials collected by the City (the "Contract"); and,

 

WHEREAS, the Contract was extended and amended on March 27, 2001, with a new expiration date of September 30, 2004; and,

 

WHEREAS, on February 27, 2004, the Common Council approved extending the terms and conditions of the existing Contract through December 31, 2006; and,

 

WHEREAS, when notified of the extension, West Allis Salvage proposed to modify the contract extension for a five year period while, at the same time, reducing the processing fees from Twenty-two Dollars ($22.00) to Twenty Dollars ($20.00) per ton; and,

 

WHEREAS, West Allis Salvage requests that the bond requirement be dispensed with due to its past performance and the cost of the bond; and,

 

WHEREAS, in response to this proposal, on May 4, 2004, the Common Council direct the Director of Public Works, with the assistance of the City Attorney, to negotiate the specific terms and conditions of the Contract extension.

 

NOW, THEREFORE, BE IT RESOLVED by the Common Council of the City of West Allis as follows:

 

1.                     That the Second Extension and Amendment to Recycling/Processing Agreement, which is attached hereto and made a part hereof, be and is hereby approved.

 

2.                     That the Mayor and City Administrative Officer, Clerk/Treasurer be and are hereby authorized and directed to execute and deliver the Contract on behalf of the City.

 

3.                     That the City Attorney is authorized to make such technical, non-substantive, modifications to the agreement as are deemed necessary to protect the City's interest.
