Resolution to Approve the Second Amendment to Lease By and Between West Allis Memorial Hospital, Inc., and Aurora Health Care, Inc., and the City of West Allis.

WHEREAS, the City of West Allis ("City") and West Allis Memorial Hospital, Inc. ("Memorial"), have entered into that certain Lease dated May 29, 1963 ("Lease"), whereby the City leases to Memorial and Memorial leases from the City certain hospital property and related facilities more particularly described in the Lease; and,
WHEREAS, Memorial affiliated with Aurora Health Care, Inc. ("Aurora"), on February 13, 1995; and,
WHEREAS, the original lease was first amended by the City and Memorial on April 18, 1997 (as further amended on January 2, 2001) relative to the establishment of the Aurora System Laboratory Facility at West Allis Memorial Hospital; and,
WHEREAS, to further develop the Memorial campus and to encourage the capital investment and job creation resulting therefrom, and to provide additional financial contribution to the City, the City, Memorial, and Aurora mutually desire to modify the terms of the Lease, as more particularly set forth in that certain Second Amendment to Lease, which is attached hereto and made a part hereof.
NOW, THEREFORE, BE IT RESOLVED by the Common Council of the City of West Allis that the Second Amendment to Lease by and among the City, Memorial, and Aurora be and is hereby approved.
BE IT FURTHER RESOLVED that the proper City officers be and are hereby authorized and directed to execute this Second Amendment to the Lease on behalf of the City of West Allis, and deliver and secure execution of same from the proper Memorial and Aurora officials.
